1. Who you are contracting with

InvoiceFlow (the “Service”) is operated by LEPETUKHA KYRYLO (“we”, “us”), trading as InvoiceFlow. By creating an account or continuing to use the Service you enter into a binding agreement with LEPETUKHA KYRYLO on these terms.

2. Acceptance and eligibility

If you do not agree with these terms, do not use the Service. You confirm that you are at least 18 years old and, if you use the Service on behalf of a company, that you have authority to bind that company.

3. What the Service does

InvoiceFlow is a web application for field-service and contracting businesses to create estimates and invoices, manage clients, projects, tasks and schedules, track income and expenses, and view profit-and-loss reporting. Some features use AI to help draft text.

4. Your account

You must provide accurate information and keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorised access.

5. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within the plan you have selected, for your own business purposes. You must not reverse engineer, decompile, resell, sublicense or redistribute the Service, or circumvent usage limits or technical protections.

6. Acceptable use

You must not use the Service to:

  • break any law or regulation, or facilitate fraud, spam or deceptive invoicing;
  • infringe anyone’s intellectual property, privacy or other rights;
  • upload malware, probe, scan or interfere with the security or integrity of the Service, or scrape it by automated means;
  • send communications to recipients who have not agreed to receive them.

7. AI-generated content

Where you use AI-assisted drafting, you are responsible for your prompts, for the content you input, for having the rights to that content, and for reviewing and verifying every output before you send it to a client. AI output may be inaccurate or incomplete and is not legal, tax, accounting or other professional advice. You must not use AI features to produce illegal content, hate speech, deceptive impersonation or malicious code, or to attempt to bypass safety controls. We may filter, refuse, remove or restrict content and outputs, and may suspend accounts that misuse these features. If you believe content in the Service infringes your rights, contact us and we will review and remove infringing material; repeated infringement leads to account termination.

8. Your content

You keep ownership of the data and files you put into the Service. You grant us a limited licence to host, copy, transmit, display and process that content solely to operate and provide the Service to you.

9. Our intellectual property

We retain all rights in the Service, including its software, design, documentation and branding. Nothing in these terms transfers our intellectual property to you.

10. Plans, payment and subscriptions

Paid plans are billed in advance at the prices shown at checkout, plus any applicable taxes. Introductory pricing applies only to the stated first period; the subscription then renews automatically at the standard price until cancelled. You can cancel at any time and keep access until the end of the period you have paid for.

Payment, billing, tax, invoicing, cancellation and refund mechanics are handled by Paddle and are governed by the Paddle Checkout Buyer Terms. See also our Refund Policy.

11. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

12. Availability

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates and factors outside our control may cause downtime.

13. Warranties

To the fullest extent permitted by law, the Service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

14. Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential or special damages, or for lost profits, revenue, data or goodwill. Our total aggregate liability is limited to the fees you paid in the 12 months before the event giving rise to the claim. Nothing excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

15. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your content, your unlawful use of the Service, or your breach of these terms.

16. Suspension and termination

We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and close your account at any time.

17. What happens when access ends

You may export your documents and data before your access ends. After termination we may delete your content in line with our Privacy Notice.

18. Changes to the Service and to these terms

We may change features or these terms. Material changes will be notified in the app or by email, and continued use after they take effect means you accept them.

19. Assignment, force majeure, governing law

You may not assign this agreement without our consent; we may assign it as part of a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of Ukraine, and the competent courts of Ukraine have jurisdiction, without limiting any mandatory consumer protections you have where you live.
